Ladies Around the Globe Regional President Contract

THIS REGIONAL PRESIDENT AGREEMENT (the “Agreement”) is made and entered into this DATE  (the “Effective Date”), by and between Ladies Around the Globe, LLC., a Virginia limited liability corporation with its principal office in City, State (the “Company”), and NAME, a resident of STATE (the “Regional President”).

WITNESSETH:

WHEREAS, as a part of representing the Company, Regional President will have access to confidential and proprietary information of the Company.

NOW, THEREFORE, in consideration of the mutual promises in this Agreement, and other good and valuable consideration, including the employment of Regional President by the Company and the compensation received as Regional President from the Company from time to time, the receipt and sufficiency of which are hereby acknowledged, the parties hereto, intending to be legally bound, hereby agree as follows:

1. EMPLOYMENT. The Company hereby employs Regional President hereby accepts employment. Regional President shall serve as the Regional President of Region set forth in Exhibit “A” hereto and upon the terms and conditions hereinafter set forth.

2. TERM. The term of this Agreement shall begin on the Effective Date and shall continue until terminated in accordance with the provisions of Section 4 hereof. The parties hereto agree that this Agreement and shall be considered “at will,” meaning that Regional President’s employment may be terminated by either party for any or no reason at any time with notice.

3. DUTIES; SERVICE. Regional President shall faithfully discharge her responsibilities and perform all duties as generally performed by the Regional President including any duties set forth in the Bylaws of the Company related to the position and those duties prescribed from time to time by the Board of Directors. Regional President agrees to devote time and attention to the performance of her duties and responsibilities on behalf of the Company and in furtherance of its best interests. Regional President agrees to comply with all policies, standards and regulations of the Company now existing or hereafter promulgated. Upon commencing work with the Company, Regional President agrees to immediately resign from the board of directors of any entity that engages in any business that competes with or represents a conflict with the business of the Company as determined in the discretion of the Board of Directors of the Company.

  • Plan, prepare and promote monthly events

  • Increase memberships

  • Create and host regional LAG social media platforms

  • Be the face of LAG in your region

  • Be compliant with LAG Regional President Manual and all revisions

 

4. COMPENSATION. During the term of this Agreement, Regional President’s compensation shall be determined and paid as follows.

(a) BASE SALARY. Regional President shall receive compensation based on the below to be paid monthly.

  • Membership

    • 1-50 – 20%

    • 51-100 – 22%

    • 101-150 – 24%

    • 151-200 – 26%

    • 201 – 250 - 28%

    • 251+ - 30%

  • Events

    • Happy Hour RSVP Fee 20%

    • Brunch RSVP Fee 20%

  • Sponsorship 10%

  • Compensation for new events shall be determined on case by case basis. 

(b) PAYMENT: Payments shall be made the 10th of every month according to the payment method the Regional President chooses. Payment shall be made in USD.

5. OWNERSHIP. All content on social media, social media accounts, and customer relations management (CRM) information is all owned by Ladies Around the Globe, LLC.

(a) Social Media. Upon separation of the company, all usernames and passwords must be submitted to corporate. Nothing can be posted that is not LAG standards or is derogatory.

(b). All customer/members contact information is owned by corporate and cannot be used or saved after separation from the company.

6. NON-COMPETE & NON-SOLICITATION. 

1. Regional President acknowledges and recognizes the highly competitive nature of the businesses of the Company and its affiliates and accordingly agrees as follows:

(i) During the Regional President's employment with the Company and for a period of two years following the date Regional President ceases to be employed by the Company and its affiliates, Regional President will not:

(A) engage in any Competitive Activity; or

(B) induce or attempt to induce members, customers, business relations or accounts of the Company or any of its affiliates to relinquish their contracts or relationships with the Company or any its affiliates; or

(C) solicit, entice, assist or induce other regional presidents, employees, agents or independent contractors to leave the employ of the Company or any of its affiliates or to terminate their engagements with the Company and/or any of its affiliates or assist any competitors of the Company or any of its affiliates in securing the services of such employees, agents or independent contractors.
